FLEXAPP TERMS OF SERVICE

These FlexApp Terms of Service are a legal agreement between you, as a current or prospective user of the Services, and FlexApp, Inc. (“FlexApp,” “we,” “our” or ``us''), and governs your use of FlexApp, a financial platform, which includes mobile applications, websites, software, cloud-based solutions, and other products and services (the “Service”), offered by FlexApp. If you are using the Service on behalf of a business or entity, you acknowledge and agree that you have authority to bind such business or entity and that such business or entity accepts these terms. By using the Service you agree to be bound by these FlexApp Terms and any policies referenced within (“Policies”), including our Privacy Notice.

Opening a FlexApp Account: We offer accounts for two types of purposes: personal accounts and business accounts. You may only have one personal account. To create a personal account, you must be a resident of Nigeria, be at least 18 years old or the age of majority in your state of residence and use a cellular/wireless telephone number that you own.

Closing Your FlexApp Account: You may close your account and terminate your relationship with us without cost, but you will remain liable for all obligations related to your FlexApp account even after the FlexApp account is closed. Any incomplete transactions or transfers must be completed or canceled and you must transfer any money from any personal or business profiles of your FlexApp account before closing it.

Validating and Authenticating Your Identity: You hereby authorize FlexApp, directly or through FlexApp’s use of third parties, to make any inquiries we consider necessary to validate your identity or authenticate your identity and Account Information.

$Flextag: You may select a unique alpha-numeric name to identify yourself on the Service (a “$Flextag”). You may not select a $Flextag that misleads or deceives others as to your business or personal identity or creates an undue risk of chargebacks or mistaken payments, at our sole discretion.

FlexApp Fees: The fees for using FlexApp are found in our app. We reserve the right to charge for or change the fees associated with, the use of FlexApp at any time subject to reasonable notice and these FlexApp Terms.


Link or Unlink a Payment Method: You can link or unlink certain payment methods such as a debit card to your FlexApp account. Please keep your payment method information current (e.g. debit card number and expiration date).

Until you verify the required identifying information, you will be able to deposit money into your FlexApp account, but you will only be able to receive money to your FlexApp account.

Instant Deposit: : You may Cash Out from your FlexApp Balance to your Eligible Bank Account instantly, which is subject to the fees detailed in the Instant Deposit experience.

Sharing of Your Information: We will share Account Information and transaction information, including your name, the amount, and a description, with the other party to your transaction and in accordance with our Privacy Notice.

Treatment of Funds: If you do hold funds in your FlexApp Balance, FlexApp will hold such funds separate from its corporate funds and will not use your funds for any corporate purposes, nor will FlexApp voluntarily make your funds available to its creditors in the event of bankruptcy. FlexApp will combine your funds with the funds of other customers and place those pooled accounts in one or more bank accounts in FlexApp’s name.

Transaction History: Transaction information will be reflected in your transaction history in the FlexApp. You agree that failure to provide such confirmation shall not prejudice or invalidate the terms of such transaction.

Payments for goods and services: Payments for the sale of goods or services made using the Pay and Request feature in your FlexApp account must either be identified as for goods and services or sent to business profiles. You may not send regularly recurring payments using the Pay and Request feature in your FlexApp account.

Termination of Account: We may terminate these FlexApp Terms or any Terms, or suspend or terminate your Account or your access to any Service, at any time for any reason, including a violation of the Terms. We may add or remove, suspend, stop, delete, discontinue or impose conditions on Services or any feature or aspect of a Service. We will take reasonable steps to notify you of termination or these other types of Service changes by email or the next time you attempt to access your Account. You may also terminate the FlexApp Terms applicable to your Account by deactivating your Account at any time.

Selling on FlexApp: You can receive payments for the sale of goods and services only by using a business profile or by asking the sender to identify a payment for goods and services. Selling on FlexApp, including receiving payments in your business profile or that are identified as for goods and services, is subject to applicable fees for such payments found on the Fees page. If you refund a transaction to a buyer, there are no fees to make the refund, but the fees you originally paid as the seller are not returned.

Setting up a Business Profile: FlexApp may offer you the ability to create a single business profile in addition to your personal profile in your personal FlexApp account. To be eligible, you must be an individual with a FlexApp account in good standing and complete any required application process, including verification of the required identifying information. As a business profile is part of your FlexApp account, any and all terms applicable to your FlexApp account will also govern the business profile, unless otherwise specifically stated.

Bank account deposit: When you use your bank account as a deposit method, you are allowing us to initiate a transfer from your FlexApp account to your bank account. For these transactions, we will make electronic transfers from your FlexApp account in the amount you authorize.

Refunds, Reversals, and Chargebacks: When you buy something from a seller on FlexApp using the "Pay and Request" feature in your FlexApp account, either by sending a payment to a business profile or identifying it as for goods and services, and the transaction is refunded, the money will be sent back to you. Money may not always be refunded to the payment method originally used.
If you receive a payment through a business profile or for otherwise selling goods and services(such as when a sender identifies a payment as for goods and services) and that payment is later refunded or invalidated for any reason, you are responsible for the full amount of the payment sent to you plus any fees (including any applicable chargeback fees).
If you refund a transaction, we'll retain the fees you paid as set out on our Fees page. Actions

Actions We May Take if You Engage in Any Restricted Activities: If we believe that you’ve engaged in any restricted activities, we may take a number of actions to protect ourselves, our customers, and others at any time at our sole discretion. The actions we may take include, but are not limited to, the following:

  - Terminate this user agreement, limit your FlexApp account, and/or close or suspend your FlexApp account, including canceling your FlexApp Debit Card (if any), immediately and without penalty to us;

  - Refuse to provide the FlexApp services to you in the future;

  - Hold money in your FlexApp account for up to 180 days if reasonably needed to protect against the risk of liability or if you have violated our Acceptable Use Policy;

  - If we close your FlexApp account or terminate your use of the FlexApp services for any reason, we’ll provide you with notice of our actions and make any unrestricted money the information you provided us;

  - Take legal action against you in your FlexApp account or that has been sent to you available for bank transfers.

To protect yourself from unauthorized activity in your FlexApp account, you should regularly log into your FlexApp account and review your FlexApp account statement. We will notify you of each transaction by sending an email to your primary email address on file and/or creating a story in your feed, depending on your preferences. You should review these transaction notifications to ensure that each transaction was authorized and accurately completed.

Security interest: As security for the performance of your obligations under this user agreement, you grant to us a lien on, and security interest in and to, money in your FlexApp account and any other funds held in our possession.

Amounts owed to us: We may deduct amounts owed to us, in whole or in part, from money that is sent to your FlexApp account later, either by you or from payments sent to you. While you owe amounts to us, we may:

  - reverse payments you have sent;

  - engage in the collection and other efforts to recover such amounts from you, including, but not limited to, making attempts on your linked payment methods to cover the amounts

  - If you have more than one FlexApp account, even if you have those accounts without our authorization and in breach of this agreement, we may set off amounts owed to us in one FlexApp account against money in or money sent to your other FlexApp account(s). If you continue using your FlexApp account when you have amounts owed to us, you authorize us to combine amounts owed to us with any debit or transaction sent from your account.
   Anti-money laundering and counter-terrorism financing laws may require that we verify the required identifying information if you use certain FlexApp services. We reserve the right to close, suspend, or limit access to your FlexApp account and/or the FlexApp services in the event that, after reasonable inquiries, we are unable to obtain information about you required to verify your identity.

Consumer fraud warning: If we have verified the required identifying information that you provide to us, FlexApp may offer you the ability to add money to your FlexApp balance from a debit card, kiosk deposit, or transfer from another FlexApp user, subject to the applicable fees found on the Fees page. Otherwise, you cannot add money.

  -Accidental Payment: a scammer sends you a fraudulent payment, claims it was accidental, and asks that you return their money.

  -Seller Scam: a scammer sends you a fraudulent payment for goods or services you provide outside of FlexApp.

Always use common sense when sending money. If something sounds too good to be true, it probably is. Only send money for yourself and not for others. If you believe someone is trying to scam or defraud you, you should contact us.
